Terms of Service

1. Scope of Services

We design, build, deploy, host and optimize AI customer support agents for website, WhatsApp, email and other channels, as described in your order form or selected plan.

2. Accounts and Client Obligations

• Provide accurate business information and keep account credentials secure.
• Ensure you have the right to share any content, data or credentials you provide.
• Review and approve agent behavior, knowledge sources and escalation rules before launch.
• Comply with our Acceptable Use Policy and all applicable laws, including messaging and privacy laws.

3. Fees, Billing and Setup Fees

Plans consist of a one-time setup fee and a recurring monthly or annual subscription fee. Setup fees are invoiced at signing and cover custom development, knowledge ingestion, testing and deployment. Subscription fees are billed in advance and cover hosting, AI model usage, infrastructure, monitoring and optimization.

Fees are stated in US dollars and exclude applicable taxes. Late payments may result in suspension after 10 days' written notice. Conversation volume above plan limits may require an upgrade.

4. Intellectual Property

You retain all rights to your content, data and trademarks. We retain all rights to our platform, software, prompts frameworks, tooling and know-how. During your subscription we grant you a non-exclusive licence to use the deployed agents for your business. Custom deliverables explicitly assigned in an order form are assigned upon full payment.

5. Confidentiality

Each party will protect the other's confidential information with at least reasonable care and use it only to perform under these Terms.

6. AI Output Disclaimer

AI-generated responses may occasionally be inaccurate. Agents are configured with guardrails and human escalation, but you remain responsible for reviewing agent configuration and for decisions made based on AI output. See our AI Usage & Data Policy.

7. Warranties

We will perform the Services in a professional and workmanlike manner. Except as expressly stated, the Services are provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenue. Each party's total aggregate liability is limited to the fees paid or payable by you in the twelve (12) months preceding the claim, except for breaches of confidentiality, payment obligations, or indemnification obligations.

9. Term and Termination

Subscriptions renew automatically for successive periods unless cancelled in accordance with our Refund & Cancellation Policy. Either party may terminate for material breach not cured within 30 days of written notice. On termination we will make your data available for export for 30 days, then delete it.

10. Governing Law

These Terms are governed by the laws of the State of New Mexico, USA, without regard to conflict-of-law rules. The state and federal courts located in Bernalillo County, New Mexico have exclusive jurisdiction.

11. Changes

We may update these Terms with at least 30 days' notice for material changes. Continued use after the effective date constitutes acceptance.
